Agent Memory Commercial Licence

Ownership

Agent Memory, including its source code, interface, installer, packaging, documentation, name, logo, skills library, API design, and product design, is proprietary commercial software owned by so.design or its licensors.

Licence grant

Subject to a valid purchase, written agreement, trial approval, subscription entitlement, or other written permission from so.design, authorised users receive a limited, revocable, non-exclusive, non-transferable licence to install and use Agent Memory for their own personal or internal business purposes.

Licence scope

Unless a written agreement says otherwise, each licence is for one named user. The licensed user may install Agent Memory on machines they reasonably use, provided the licence is not shared, resold, pooled, made available as a hosted service, or used by multiple people at the same time.

Pricing model

Agent Memory is sold as a one-time $199 USD lifetime licence per user plus applicable taxes for the installed launch product. The initial purchase includes bug-fix and security updates for one year from the date of purchase at no additional cost. An optional $10 USD / month Updates Pass adds new official skills, feature updates, compatibility improvements, refreshed model picks, community membership, and packaging improvements while active. Cancelling the Updates Pass does not cancel the underlying lifetime licence for the version and entitlements already purchased.

Trials, refunds, and cancellations

Trial access, promotional access, refunds, and cancellation rights may vary by purchase channel or written agreement. Where 30-day setup support is displayed at the time of purchase, it applies to the initial software purchase unless the offer says otherwise: if Agent Memory cannot be made to run on a supported Windows machine after reasonable troubleshooting, contact support from the purchase email address. Subscription-based Updates Pass billing may be cancelled for future periods; previous periods are not automatically refunded except where required by law or expressly promised.

Updates and version rights

A lifetime licence means continued use of the licensed software version, not a promise that all future versions, hosted services, integrations, support, or premium skill libraries will be free forever. Bug-fix and security updates are included for one year from initial purchase. Feature updates, new official skills, refreshed model picks, community membership, and priority support require an active Updates Pass unless so.design expressly says otherwise. Major future products, hosted services, enterprise features, or managed services may require separate licensing.

Restrictions

You must not redistribute, resell, sublicense, host, white-label, lease, lend, share access to, reverse engineer, decompile, remove notices from, bundle with another product, bypass licence controls, or use Agent Memory to build a competing product or service unless so.design gives written permission or applicable law expressly allows it.

Enterprise and managed use

Enterprise deployment, centralised device management, shared team memory, managed services, white-label distribution, resale, bundling, or use as part of a client-delivered service requires a written commercial agreement. Contact so.design before deploying Agent Memory beyond ordinary individual use.

Third-party components

Third-party libraries, models, fonts, build tools, and platform components remain governed by their own licences and notices. The Agent Memory commercial licence does not grant broader rights to third-party components than those third-party licences allow.

Open-source distinction

Some components used by Agent Memory are open source. Agent Memory itself is not open source unless so.design publishes a specific component under an open-source licence. Access to a repository, installer, or source file does not transfer ownership or create permission to redistribute the product.

Termination

so.design may suspend or terminate access to licences, updates, services, or support if a user breaches these terms, infringes intellectual property rights, attempts unauthorised redistribution, or misuses the product. Termination does not remove rights that cannot be excluded by law.

Reservation of rights

No ownership rights are transferred. All rights not expressly granted are reserved by so.design.
