Agent Memory Terms of Use
Acceptance
By downloading, installing, accessing, or using Agent Memory, you agree to these Terms of Use, the Commercial Licence, the Privacy Notice, and the Third-party Notices. If you use Agent Memory for an organisation, you confirm you have authority to accept these terms on its behalf.
What Agent Memory does
Agent Memory is a local desktop application and local HTTP API that indexes user-selected folders, files, project notes, user profile guidance, and skill files into a searchable memory store for AI assistants running on the same machine.
Local-first operation
Agent Memory is intended to run locally on your computer. Indexed content, embeddings, profile guidance, source metadata, skill configuration, manual notes, sessions, and agent metadata are stored in the local application data folder unless you choose to copy, back up, sync, or share that folder. The local API should remain bound to 127.0.0.1 and should not be exposed to the public internet.
User responsibilities
You are responsible for choosing what content is indexed, ensuring you have permission to process that content, protecting access to your computer, and deciding which assistants, scripts, automations, or local services may connect to the API. Do not index material you are not authorised to process.
Local API and connected agents
Connected agents may be able to search memory, read snippets, load skill summaries or full skill files, invoke skills, create sessions, and add notes depending on the endpoint used. You are responsible for the tools you connect, the permissions you grant, and any external action those tools perform.
Confidential and sensitive information
Do not index passwords, credentials, API keys, regulated personal information, health information, confidential client material, privileged legal material, or sensitive institutional documents unless you are authorised to do so and have appropriate safeguards in place. If you connect hosted AI assistants, review what they may receive before sending memory snippets outside your machine.
Search results and assistant output
Search results, document snippets, skills, and assistant outputs may be incomplete, stale, irrelevant, or affected by source quality. Users remain responsible for reviewing source documents and verifying outputs before relying on them in professional, commercial, legal, financial, medical, safety, accessibility, compliance, or other high-impact contexts.
Skills library
Built-in and user-authored skills are templates and operating instructions for assistants. They do not execute work by themselves, guarantee an outcome, or change the ownership, confidentiality, or licensing of indexed content. Output produced by an assistant using a skill is the user’s responsibility to review.
Acceptable use
You must not use Agent Memory to breach laws, violate third-party rights, bypass security controls, scrape or process data without permission, distribute malware, or assist harmful, deceptive, abusive, or unauthorised activity. You must not expose the local API in a way that allows unauthorised access to indexed content.
Updates, support, and availability
Agent Memory may change over time as features, skills, installers, dependencies, model choices, and documentation are improved. Some features may require a first-time model download, a supported operating system, sufficient local storage, or a valid updates entitlement. We may modify, suspend, or discontinue features where needed for security, maintenance, commercial, or legal reasons.
Consumer guarantees
Nothing in these terms is intended to exclude, restrict, or modify rights that cannot lawfully be excluded, including any applicable rights under the Australian Consumer Law. Where the law permits limits, liability is limited to the maximum extent allowed by law.
No professional advice
Agent Memory is a productivity and retrieval tool. It does not provide legal, financial, medical, compliance, accessibility, security, or other professional advice. Always use qualified professional advice where the consequences of an error would be material.
